Waterfield's senior management team includes individuals with significant senior management level experience in both the private label/affinity services and banking industries. The members of the team are:

J. Randall Waterfield, CFA
Mr. J. Randall Waterfield, CFA is the co-founder, co-chairman and co-chief executive officer of Waterfield Financial Services ("WFS"). Prior to WFS, Mr. Waterfield was at Goldman Sachs & Co., where he worked as an institutional asset manager responsible for small capitalization growth portfolios totaling $1.0 billion. He also serves as a principal of Waterfield Enterprises, LLC, and Fife Waterfield, LLC, both investment companies focusing on private equity and venture capital investments. Mr. Waterfield supports various educational and environmental charities through his involvement in The Waterfield Foundation. He is a Chartered Financial Analyst a member of MENSA and graduated from Harvard University. Mr. Waterfield is also the Chairman and a member of the executive committee of the New York City Young Presidents' Organization, New York, New York.

Richard R. Waterfield
Mr. Richard R. Waterfield is co-founder, co-chairman and co-chief executive officer of WFS. Mr. Waterfield is also a principal of Waterfield Enterprises, LLC, and a founding principal of Fife Waterfield & Co. Prior to the founding of Waterfield Enterprises, Affinity Financial Corporation, and Fife Waterfield & Co., Mr. Waterfield was an Institutional Equity Advisor at Goldman, Sachs & Co. in New York covering AllianceBernstein L.P., Merrill Lynch & Co., Inc., and American Express Financial Advisors among others. Mr. Waterfield supports various educational and environmental charities through his involvement in The Waterfield Foundation. Mr. Waterfield was trained in bank stock analysis at Prudential Securities under George M. Salem, and is a graduate of Columbia University.

David R. Brown
David R. Brown became the executive vice president and chief financial officer of the Company and Bank in October 2008. Mr. Brown is a financial executive with extensive experience with strategic planning and analysis, GAAP accounting and reporting, tax management, asset/liability analysis and control and finance. He is a Certified Public Accountant. From June 2007 until joining the Company, Mr. Brown provided consulting services to the financial services industry, including financial reporting, asset-liability management and expert witness services. Mr. Brown was the chief financial officer of National Mercantile Bancorp in Los Angeles from 2001 to 2007, where he was responsible for all financial functions of the bank holding company and its subsidiary banks, including strategic planning. From 1997 to 2001, he was President of PriVest Bank in Costa Mesa, California, which he founded. Mr. Brown earned a Bachelors of Science degree in business administration from California State Polytechnic University, Pomona, California.

John G. Marino
Mr. Marino is the chief operating officer of WFS. Mr. Marino joined WFS and Waterfield Technologies as a project manager in 1999. In 2002, Mr. Marino assumed responsibility for Waterfield Technologies' PMO office, where he was instrumental in developing the structure, procedures, and customer communication tools required to manage WFS & Waterfield Technologies' growing customer base. Throughout his career with AFC and Waterfield Technologies, he has successfully attracted, implemented, and serviced clients such as United Healthcare Services, Inc., GE Capital, U.S. Bank, and Citibank, among others. His efforts have helped earn Waterfield Technologies & WFS its' reputation as an industry leader in financial technology and software systems based implementation. Mr. Marino came to WFS from eMoney Systems where he served as an industry analyst for the e-commerce/payment systems industry.

Daniel R. Tringali
Mr. Tringali is the executive vice president of business development at WFS and has over 15 years of experience in the affinity marketplace. Prior to WFS, Mr. Tringali was a national sales manager for Kessler Financial Services, Boston, Massachusetts, where he developed affinity programs on behalf of MBNA America Bank (now Bank of America, N.A.), Fleet Boston Financial (now Bank of America, N.A.) and Household Financial, Inc. Prior to Kessler Financial, Mr. Tringali worked at First Data Corporation.

John E. Karzak
Mr. Karzak is chief marketing officer for WFS. In this capacity, Mr. Karzak is responsible for all company marketing functions, including business strategy, partnership management, branding, advertising, performance measurement and analysis and customer loyalty. Mr. Karzak came to WFS from Countrywide Financial Corporation where he was senior vice president of marketing. There he was responsible for strategic development, design, and implementation of all online and offline marketing, advertising, and public relations initiatives for Countrywide's insurance and banking entities. Mr. Karzak has also held senior marketing leadership positions at MBNA America (now Bank of America, N.A.), Wachovia Bank, N.A., Fleet Boston Financial and Harrah's Entertainment.

John R. Donohue
Mr. Donohue is the Executive Vice-President and Chief Credit Officer of Waterfield Bank. Mr. Donohue previously served as the Group Senior Vice-President, National Loan Quality, with World Savings and Loan where his other experience included Retail Bank Management, Human Resources Management and he served as the President of World Savings and Loan of Colorado, headquartered in Denver, Colorado. From October 1993 thru February 1998, Mr. Donohue was the Executive Vice-President and Lending Portfolio Manager for American Savings bank and its successor, Washington Mutual Bank. His experience there involved the integration of American and Great Western into the Washington Mutual organization. Mr. Donohue began his business career with Xerox Corp. in 1970 where he served in an Administrative Management capacity working with the West Coast Regional and Branch offices. Mr. Donohue attended Cal. State University in Sacramento graduating with a B.S. degree in Business Administration. He also attended Mc George School of Law, U.O.P., and the University of Colorado for legal and business courses and credit.

Eugene V. Fife
Mr. Eugene V. Fife was formerly a general partner of Goldman Sachs & Co., where he served as a member of the firm's Management Committee and as Chairman of Goldman Sachs International. He is the founding principal of Vawter Capital, LLC, Charlottesville, Virginia, a private investment firm, a member of the Board of Directors of Caterpillar, Inc. (NYSE: CAT), and is the non-executive chairman of Eclipsys Corporation (NASDAQ: ECLP). Mr. Fife received his M.B.A. from the University of Southern California and his B.S. from Virginia Polytechnic Institute.

Joseph H. Wender
Mr. Wender is a partner with Goldman, Sachs & Co. From 2005 through 2007, he joined GSC Group as Managing Director and became a Senior Managing Director in 2006. He was a member of the GSC Management Committee for GSC Structured Finance Funds and served as Chairman of their Finance Committee. Prior to this, he began with Goldman, Sachs & Co. in 1971 and became a Partner of that firm in 1982, where he headed the Financial Institutions Group for over a decade. He is a director of First Coastal Bancshares and Isis Pharmaceuticals. Mr. Wender received his Bachelors degree from Northwestern University in 1966, his LLB from Yale Law School in 1969, and his M.B.A. with Highest Distinction as a Baker Scholar from Harvard Business School in 1971.

Robert B. Albertson
Mr. Albertson is chief strategist at Sandler O'Neill, New York, New York. Prior thereto, he was director of U.S. bank research for 13 years and global coordinator for financial sector research worldwide at Goldman, Sachs & Co. Prior to Goldman Sachs, he served as Managing Director for U.S. Bank Equities Research at Smith Barney. Mr. Albertson is a Tau Beta Pi graduate of Carnegie-Mellon University and an M.B.A. graduate of the Harvard Business School.

John M. Eggemeyer
Mr. Eggemeyer is a co-founder and chief executive of Castle Creek Capital LLC, Rancho Santa Fe, California, a merchant banking firm specializing in the financial services industry, and Castle Creek Financial LLC, a licensed broker/dealer. He also serves as Chairman of the Board of First Community Bancorp, is a director and Chairman of Centennial Bank Holdings, and Chairman and Chief Executive Officer of White River Capital Inc., and its wholly-owned subsidiary, Union Acceptance Corporation. He holds a B.S. degree from Northwestern University and an M.B.A. from the University of Chicago.

David E. Fife
Mr. David E. Fife is a Partner at Rosemont Solebury Capital Management, L.P., a private equity firm where he serves as Managing Director and Portfolio Manager for the firm's $350 million Co-Investment Fund. Prior thereto, he served as Chief Executive Officer of Earthport Plc., a London listed (LSE:EPO) international payments and foreign exchange provider. He is a non-executive director of Earthport Plc. Mr. Fife holds a B.A. from Duke University and an M.A. from Columbia University.

Robert T. Barnum
Mr. Barnum serves as Chairman of Waterfield Bank and has been a private investor in Irvine, California since 1997. Mr. Barnum was the chief operating officer of American Savings Bank, a $20.0 billion California thrift, owned by the Robert M. Bass group from 1989 until the company's sale in 1997, and was the chief financial officer there from 1989 through 1992. Currently, he is a member of the board of directors, member of the Audit Committee, and Chairman of the Risk Management Committee of Shenzhen Development Bank, Shenzhen China. Mr. Barnum has a Master's Degree in Finance from Indiana University and a Bachelor of Arts Degree in Mathematics from the University of Illinois.

Timothy Chrisman
Mr. Chrisman is the founder and the chief executive officer of Chrisman & Company, Inc., Los Angeles, California, a retained executive search firm founded in 1980 primarily dealing in the financial services industry group, consisting of commercial banks, savings and loans, securities firms, mortgage companies and insurance companies. Mr. Chrisman is also the current chairman of the board of directors of the Federal Home Loan Bank of San Francisco, and has served on that board since 2004. Mr. Chrisman has previously served as Chairman of the board of directors of Hawthorne Savings and Loan and its parent Hawthorne Financial Corporation, as well their successors, Commercial Capital Bancorp, Inc. and Commercial Capital, Inc.

Charless Chamness
Mr. Chamness is president of the National Association of Mutual Insurance Companies ("NAMIC"), Indianapolis, IN., and has served as a director of FCB and APB since 2005. He holds a B. A. degree from Indiana University, Bloomington, IN.

Rob Evans
Mr. Evans has had a 40-year career as a banker and fiduciary. He has been chief executive officer of six banks, in New York, California and internationally. He formerly was a Trustee in managing the United States' interests in the BCCI matter and is currently Trustee on behalf of the BCCI foreign liquidators, Federal Receiver Trustee appointed by the United States District Courts for the District of Columbia, Central District of California, Eastern District of California, Northern District of Oklahoma, Southern District of New York, District of Nevada, District of Arizona, Eastern District of Texas, Western District of Texas, and a California State Court Receiver in a variety of matters.

Mark R. Ruh
Mr. Ruh is currently a Director at Castle Creek Capital LLC, a private equity and investment banking firm which works exclusively with financial services companies. He is the president and chief operating officer of White River Capital, Inc. and serves on White River's board of directors. He is also the president of Union Acceptance Company LLC, White River's wholly owned subsidiary. Prior to joining Castle Creek in 1998, Mr. Ruh was a manager at Ernst & Young LLP, where he worked as a management and technology consultant. He also served five years in the United States Navy as a nuclear submarine officer. Mr. Ruh earned a Bachelor of Science degree in Industrial Engineering from The Pennsylvania State University. He also holds an M.B.A. from Northwestern University's Kellogg School of Management and a Masters of Engineering Management from Northwestern University's McCormick School of Engineering and Applied Science.
